It applies to the NikaQuant website at nikaquant.com, the app at app.nikaquant.com, the NikaQuant MT5 Expert Advisors, products sold at store.nikaquant.com, and the token page at coin.nikaquant.com (together, the "Service"). "NikaQuant", "we", "us" and "our" mean [Legal entity name], the operator of the Service. "You" means the person using the Service.

1.1 NikaQuant is analytics software. It reads trading data you give it (for example, MetaTrader 5 Strategy Tester reports, optimisation results, CSV exports and account history) and returns statistics, scores and visualisations. It is provided for educational and informational purposes only.
1.2 Nothing in the Service is investment, financial, trading, legal or tax advice, or a recommendation or solicitation to buy, sell or hold any financial instrument or crypto-asset, or to use any strategy, broker, prop firm or position size. No output is personalised to your financial situation, objectives, experience or risk tolerance, even when it uses your own data.
1.3 NikaQuant is not a broker, dealer, investment adviser, commodity trading advisor, introducing broker, portfolio manager, fund, exchange, crypto-asset service provider or signal provider. We do not hold client money or assets, do not open or operate trading accounts for you, and do not place, modify or close trades on your behalf.
1.4 We are not registered with, authorised by or supervised by any financial regulator, including (without limitation) the US Securities and Exchange Commission (SEC), the US Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), the UK Financial Conduct Authority (FCA), the European Securities and Markets Authority (ESMA) or any EU/EEA national authority, or the Australian Securities and Investments Commission (ASIC). You do not get the protections that regulated firms' clients may get, such as compensation schemes or financial ombudsman access, in respect of anything we provide.
1.5 If you need advice, talk to an independent, properly licensed professional in your jurisdiction before you trade.
2.1 Trading foreign exchange (forex), contracts for difference (CFDs), futures, options, spread bets, and crypto-assets and their derivatives carries a high level of risk and is not suitable for everyone. You can lose some or all of the money you put in.
2.2 Leverage. Leverage magnifies both gains and losses. A small market move against you can cause a large loss relative to your deposit. Depending on the product, your broker and the rules where you live, you may lose more than you deposited and owe your broker the difference. Some retail accounts have negative-balance protection; many do not. Check with your broker.
2.3 Most retail traders lose. Brokers and regulators in several jurisdictions publish figures showing that a majority of retail accounts trading CFDs and other leveraged products lose money. Assume you are not the exception until your own live results prove otherwise, over a meaningful sample.
2.4 Market and execution risks include, among others: gaps (including weekend and news gaps) that jump past your stop-loss; sudden volatility; low liquidity; widening spreads; slippage and requotes; margin calls and forced liquidation (stop-outs); swap/rollover and financing charges; commission; currency conversion; broker insolvency or misconduct; platform, server, internet or power failures; and changes in margin requirements or leverage limits.
2.5 Crypto-assets carry extra risks: extreme volatility, 24/7 markets, exchange failures and hacks, irreversible transactions, and fast-changing regulation.
2.6 Only trade with money you can afford to lose in full without changing your standard of living.
3.1 Much of NikaQuant is built around MT5 Strategy Tester output. A backtest is a computer replay of rules on past data. It is not a record of real trading, and it can mislead you in ways that are easy to miss:
3.2 Files you upload may be incomplete, edited, corrupted, or from a different account, symbol or period than you think. We analyse what we receive. We do not verify that it is genuine or complete.
4.1 Backtests, optimisation results, Monte Carlo runs, walk-forward checks, Forward Test projections, Prop-Firm Simulator runs, equity curves, "what-if" scenarios and similar outputs are hypothetical or simulated performance. The following statement, adapted from the disclaimer required of certain regulated firms under US CFTC Rule 4.41, applies to all of them. We are not registered with the CFTC and use this wording only because it describes the limits well:
4.2 In addition, hypothetical results do not reflect the financial risk of actual trading. The ability to withstand losses, or to stick to a strategy through a drawdown, can badly affect real results and is not captured in any simulation. There are often sharp differences between hypothetical results and the results later achieved by any particular strategy.
4.3 Past performance, whether real, backtested or simulated, is not a reliable indicator of future results. This includes any example results, case studies or screenshots on our websites or social channels, which are illustrations only and are not typical or promised outcomes.
5.1 The Service produces outputs such as a Score (0–100) and Grade, a Verdict, robustness and overfit-risk checks, Monte Carlo simulations, walk-forward-style checks, a Forward Test view, risk-of-ruin and position-sizing figures (including Kelly and half-Kelly calculations), Trading Wrapped summaries, share images and PDF exports.
5.2 What they are:
5.3 What they are not:
5.4 They can be wrong. Inputs can be bad; assumptions can fail; our methods have limits; and our software can have bugs or change between versions, so the same file may score differently over time. Monte Carlo and similar simulations only reshuffle or resample what is already in your data. They cannot show you a market event that isn't in it. Position-sizing figures are maths on historical data, not advice to risk any amount.
5.5 Outputs may be computed in your browser on your device. Device, browser and version differences can occasionally produce different results.
6.1 The Prop-Firm Simulator checks a strategy's history against approximations of evaluation and funded-account rules, such as daily loss limits, maximum drawdown, profit targets, minimum trading days and consistency rules.
6.2 NikaQuant is not affiliated with, endorsed by, sponsored by or partnered with any proprietary trading firm. Firm names and presets are used only to describe which rule set is being approximated. Trademarks belong to their owners.
6.3 Prop firms write, interpret and change their own rules, often without notice, and they may apply rules we don't model (for example, news-trading bans, lot-size caps, EA or copy-trading restrictions, IP or device rules, payout conditions, or how they calculate equity, drawdown and the trading day). Our presets may be out of date or simplified. Always read the firm's current terms yourself.
6.4 Passing the simulator does not mean you will pass a challenge, get funded, keep a funded account or receive a payout. Failing the simulator does not mean you would fail. Challenge fees are paid to the firm, not to us, and we have no say in refunds, payouts or disputes.
7.1 Arena entries, leaderboard rankings, share images, share links, Trading Wrapped cards and any other results posted by users are uploaded or self-reported by those users. Unless a result is clearly labelled as verified, and the label explains what was verified, we have not checked that it is genuine, complete, from a real account, or representative. Shared reports may be marked "Unverified".
7.2 Rankings reflect the data submitted and our scoring at the time. They are not a measure of skill, honesty or future performance, and they are not an endorsement of any trader or strategy.
7.3 The Arena is not a signal service, copy-trading service or investment-manager directory. Do not copy, follow or pay anyone based on what you see there. Someone who appears near the top may have curve-fit a backtest, cherry-picked results or simply been lucky. Our Acceptable Use Policy (nikaquant.com/acceptable-use/) prohibits faking results, but we cannot catch everything.
7.4 When you share your own results, you are responsible for what you share and for how others might use it. Do not present shared NikaQuant outputs as a guarantee or as advice to others.
8.1 The Journal, Tracker, journal insights, tilt-detector, best-self comparisons, Roast Mode, NL Query, coaching-style prompts and similar features are informational. They describe patterns in the data you provide. They are not psychological, medical or financial advice, and they do not tell you what to trade.
8.2 Insights depend on the completeness and accuracy of your records. Missing trades, wrong time zones, manual entries or mixed accounts will distort them.
8.3 Blunt feedback is a product choice, not a judgement of you as a person. If trading is causing you financial or emotional harm, stop and get help from a qualified professional.
9.1 What it is. NikaQuant offers a MetaTrader 5 Expert Advisor, called the Bridge EA or the NikaQuant Exporter EA, that you can install in your own MT5 terminal. In its current version it:
MQL5/Files/NikaQuant/ folder, when a trade closes, on a timer you set, or when you click its sync button; You then import the exported files into the app yourself (for example, on the Upload page).
9.2 What it does not do. The Bridge EA is a read-only reporting tool. It does not open, modify or close positions or orders, does not change your stop-loss or take-profit, does not manage risk for you, and does not need or store your MT5 password or investor password. NikaQuant cannot place trades on your account. If a future version adds direct syncing to our servers, it will remain read-only, we will describe what it sends before you enable it, and our Privacy Policy (nikaquant.com/privacy/) will cover that data.
9.3 Installation risks. Installing any EA changes your terminal. Only download the Bridge EA from app.nikaquant.com or nikaquant.com. Copies from anywhere else may be altered or malicious, and we are not responsible for them. Attach it to a chart where it will not interfere with your trading EAs (it does not trade, but running many EAs, timers and file operations can slow an older machine or VPS). Allowing algorithmic trading, DLL imports or WebRequest permissions in MT5 is a setting you control. The Bridge EA does not need DLL imports.
9.4 Keep your terminal secure. You are responsible for the security of your computer, VPS, MT5 installation, broker logins and exported files. Exported files contain your account number and trading history. Store and share them carefully. Never give anyone (including someone claiming to be from NikaQuant) your trading password. We will never ask for it.
9.5 Outages, delays and gaps. Data from the Bridge EA can be delayed, incomplete or stale if your terminal is closed, disconnected or restarted, the EA is removed or disabled, your broker's server or history is unavailable, filters (magic number, symbol, history days) exclude trades, or files aren't imported. The app's diagnostics try to show missing or stale data, but they may not catch every gap. Do not rely on NikaQuant for real-time monitoring of open risk, margin or prop-firm limits.
9.6 You remain solely responsible for your trading account: every trade, every EA you run, your broker relationship, and compliance with your broker's and any prop firm's rules (some firms restrict third-party EAs or tools; check before installing).
10.1 store.nikaquant.com sells MT5 Expert Advisors, indicators and bots as one-time licenses. Purchases are also governed by the store's Terms of Sale (store.nikaquant.com/terms/) and License (store.nikaquant.com/license/).
10.2 Automated trading risk. An EA or bot can open and close real trades on your account without you watching. Bugs, bad settings, unexpected market conditions, disconnections, VPS failures, broker changes or conflicts with other EAs can cause fast, large losses, including multiple trades opened in error. You decide whether to run it, on which account, at what size, and when to switch it off.
10.3 Test on a demo account first, then on a small live account, before using any store product with meaningful capital or on a prop-firm account.
10.4 Settings and broker differences. Default settings are a starting point, not a recommendation. Results depend heavily on your broker, account type, symbol specifications, spreads, commission, execution speed, leverage, server time zone and VPS. A setting that works on one broker may fail on another.
10.5 No performance guarantee. Any backtest, screenshot, example or description of a store product is hypothetical (see section 4). We do not promise that any product will be profitable, will meet your goals, or will comply with any prop firm's rules.
10.6 Updates. New versions can change behaviour, settings or results. Read the change notes, re-test on demo after updating, and keep a copy of a version you are happy with where your license allows. MT5 platform updates and broker changes can also break or change how a product works.
11.1 Nika AI is planned for the Premium plan and is not live yet. Free and Pro do not include AI features. This section applies once Nika AI is available.
11.2 AI output is generated by a statistical language model. It can be wrong, incomplete, out of date or invented ("hallucinated"), and it can sound confident when it is wrong. It may misread your data, miscalculate, or describe features, rules or market facts incorrectly.
11.3 Nika AI output is not advice and is not a recommendation to trade. Check anything that matters against your own data and primary sources before acting on it. To produce answers, Nika AI may send selected data to an AI model provider, as described in our Privacy Policy.
12.1 What it is. $NIKAQUANT is a crypto-asset on the Solana blockchain, described at coin.nikaquant.com and governed by the Token Disclaimer at coin.nikaquant.com/disclaimer/. It was launched on a third-party bonding-curve launchpad. It is separate from the NikaQuant subscription service: no Free, Pro or Premium plan includes it, it gives no access, discount or feature in any plan, and you never need it to use the Service.
12.2 Highly speculative. It can go to zero. Small-cap crypto-assets are extremely volatile. The token's price can fall to zero and may never recover. Only put in money you can afford to lose in full.
12.3 Bonding-curve, launchpad and liquidity risk. On a bonding curve, price moves by formula with every trade, so early and late buyers pay very different prices. Liquidity can be thin, slippage high, and large holders, bots or snipers can move the price around your trade. Whether the token ever moves ("graduates") from the bonding curve to a decentralised exchange pool depends on demand and on the launchpad's rules, not on us. You may not be able to sell when you want, or at the price you expect.
12.4 Smart-contract, wallet and chain risk. The token relies on Solana, token programs, launchpad and exchange contracts, and wallet software, any of which can have bugs, be exploited, suffer outages or behave unexpectedly. Blockchain transactions are generally irreversible. If you lose your private keys or seed phrase, or send tokens to the wrong address, they are gone. We cannot recover them.
12.5 Scams and phishing. Fake tokens with the same name or ticker, fake websites, fake "support" accounts, fake airdrops and wallet-draining links are common. Always check the contract address against the one published on coin.nikaquant.com. NikaQuant will never ask for your seed phrase or private keys, and will never DM you first offering to "help" with your wallet.
12.6 Regulatory uncertainty. Laws on crypto-assets differ by country and are changing. New laws, enforcement actions, or decisions by exchanges, launchpads or wallet providers could restrict, delist or make it illegal for you to hold or trade the token. It is your responsibility to check whether you may lawfully buy, hold or sell it where you live.
12.7 Roadmap is not a promise. Items shown on the token page, such as paying for NikaQuant products with the token, holder perks or tiers, buybacks and governance, are plans only. They may change, be delayed or never happen. Nothing in any NikaQuant plan or product depends on them.
12.8 Not an investment, no returns. The token is not a share, bond, deposit, fund unit, investment contract or claim on NikaQuant, its revenue, profits or assets. It carries no right to dividends, interest, revenue share, buybacks, redemption, voting or any return, and no promise is made about its price, liquidity, listing or value. Nothing NikaQuant publishes about the token is investment, financial, legal or tax advice. Do not buy it expecting profit from our efforts.
13.1 The Service relies on data and services we don't control, including your broker and its price feed, MetaTrader 5 and its Strategy Tester, file formats produced by third-party software, market or broker-cost data, prop-firm rule information, payment processors, hosting providers and blockchain networks. These can be inaccurate, delayed, incomplete, changed or unavailable.
13.2 Any broker, spread, slippage or cost comparison is approximate, may be based on limited or user-submitted samples, and is not a recommendation of any broker. MetaTrader and MT5 are trademarks of their owner; NikaQuant is not affiliated with or endorsed by MetaQuotes.
13.3 Links to third-party sites are for convenience. We are not responsible for their content, products or practices.
14.1 You are solely responsible for working out, reporting and paying any taxes on your trading, your store purchases and any token transactions, and for keeping records. NikaQuant reports, exports and summaries are not tax documents or tax advice and may not match the figures your tax authority requires. Ask a qualified tax adviser.
15.1 Leveraged products, automated trading, prop-firm challenges and crypto-assets are restricted or prohibited for some people in some countries. Leverage limits, product bans and investor-categorisation rules differ widely.
15.2 You must make sure your use of the Service, any store product and any token transaction is lawful where you live and wherever you access them, including sanctions and export-control laws. We do not represent that any part of the Service is appropriate or available in every location. Nothing on our sites is an offer or solicitation where it would be unlawful.
16.1 Every trading and investment decision is made by you, at your own discretion and risk. You are responsible for checking whether any strategy, product, position size or prop-firm program suits your circumstances.
16.2 To the extent the law allows, NikaQuant is not liable for trading losses, missed profits, failed challenges, prop-firm fees, token losses or other losses arising from your use of, or reliance on, the Service, any output, any store product or the token. Our full liability terms, including the limits that the law does not let us exclude (for example, certain consumer rights in the EU/EEA and UK), are in our Terms of Service (nikaquant.com/terms/). Nothing in this disclosure limits any right you have that cannot lawfully be limited.
16.3 Subscription refunds are governed by our Refund Policy (nikaquant.com/refund/). Trading losses are never refundable by us.
17.1 We may update this Risk Disclosure as the Service, the law or our understanding of the risks changes. The "Last updated" date at the top shows the latest version. Material changes will be flagged on the site or in the app.
17.2 This disclosure cannot list every risk. If you don't understand a risk, don't take it until you do.
