These Terms of Service ("Terms") are a contract between you and NikaQuant. They cover your use of nikaquant.com and app.nikaquant.com, including the Tracker, Journal and Arena front doors (tracker.nikaquant.com, journal.nikaquant.com, arena.nikaquant.com), the Bridge EA, and any related software, features and support we provide (together, the "Service").
The short version. NikaQuant is an analytics tool for MetaTrader 5 traders. It is not a broker, not an adviser and not a signal service. Most analysis runs in your browser. Paid plans renew monthly until you cancel. The Pro trial needs a card and turns into paid Pro on day 8 unless you cancel first. You get 14 days money-back from your first paid charge. You own your data. Trading can lose you money and our numbers do not change that. The short version is a summary; the full Terms below are what count.

1.1 The Service is operated by [Legal entity name], registered under number [Company registration number], with its registered address at [Registered address] ("NikaQuant", "we", "us", "our").
1.2 You can reach us at [email protected]. Section 30 explains which subject line to use for what.
1.3 In these Terms, "you" means the person using the Service. If you use the Service for a business, "you" also means that business. A "consumer" is an individual acting for purposes outside their trade, business, craft or profession. A "business user" is anyone else. Some sections apply differently to consumers; where they do, we say so.
2.1 You accept these Terms when you create an account, tick the acceptance box, start a trial or subscription, or otherwise use the Service. If you do not agree, do not use the Service.
2.2 These Terms work together with the following documents, which form part of your agreement with us:
2.3 If these Terms and one of those documents conflict, these Terms win, except that the Privacy Policy wins on how we process personal data and the Refund Policy wins on refund mechanics, where it is more generous to you.
3.1 You must be at least 18 years old and have the legal capacity to enter into a binding contract where you live. The Service is not for children.
3.2 If you accept these Terms on behalf of a company or other organisation, you confirm you have authority to bind it. In that case it is a business user.
3.3 You must not use the Service if the law that applies to you forbids it, or if you are subject to sanctions that prevent us from dealing with you.
4.1 Passwordless sign-in. We do not use passwords. You sign in with a one-time code sent to your email address. Anyone who controls your email inbox can sign in to your account, so keep your email account secure (strong password, two-factor authentication where your email provider offers it).
4.2 You are responsible for activity under your account. Tell us promptly at [email protected] (subject: Security) if you think someone else has accessed it.
4.3 Give us accurate information and keep your email address current. Billing receipts, trial reminders and notices about these Terms go there.
4.4 One person, one account. Do not share, sell or transfer your account or sign-in codes.
5.1 NikaQuant is analytics software for MetaTrader 5 ("MT5") traders. You upload MT5 Strategy Tester reports, optimisation XML, CSV files or account history, or connect an account through the optional Bridge EA. The Service then produces statistical outputs, including a Score from 0 to 100 with a grade word, a Verdict, robustness checks (such as Monte Carlo simulation, walk-forward-style checks and overfit-risk measures), the Journal, the Tracker, Arena, the Prop-Firm Simulator, Trading Wrapped, shareable images and links, and PDF export (together, "Analysis"). Which features you get depends on your plan (Section 6).
5.2 On-device processing. Much of the Service runs in your browser. Files you import are generally parsed on your own device and the results are stored in your browser's local storage (such as IndexedDB and localStorage). That data is not sent to us just because it appears on screen. It also means:
5.3 What we store on our servers. When you are signed in, on any plan, we store your account, the trade rows and run summaries of files you upload, and journal entries and preferences in our database so they follow you across devices. On Pro and Premium, workspace Cloud Save also stores whole workspaces. Data that features such as the Bridge EA, Arena or share links need to work is also sent to us. Our Privacy Policy explains what is stored, where and for how long.
5.4 Analysis is only as good as the data you give it and the assumptions built into each model. It describes the past. It does not predict the future. See Section 10.
6.1 Plans. We offer three plans, all billed monthly:
| Plan | Price | Notes |
|---|---|---|
| Free | $0 | No card needed. Limited features. |
| Pro | $39 per month | 7-day trial available (Section 7). |
| Premium | $79 per month | No trial. Billed from day one. Includes Nika AI once it is live (Section 17). |
What each plan includes is described on our pricing page and in the app at the time you subscribe. We do not offer annual billing.
6.2 Payment. Payments are processed by Stripe. By paying you also agree to the terms Stripe shows you at checkout. We do not receive or store your full card number. Keep your payment details up to date.
6.3 Automatic renewal. Paid plans are subscriptions. Each plan renews automatically every month and we charge your payment method at the start of each monthly period, at the price then in effect, until you cancel. You can cancel at any time (Section 8).
6.4 Failed payments. If a payment fails, Stripe may retry it. If we still cannot collect, we may move your account to the Free plan or pause paid features until payment succeeds. We will not delete your data just because a payment failed without first telling you.
6.5 Taxes. Prices are in US dollars. Sales tax, VAT or similar taxes may apply depending on where you are and will be shown at checkout. Where the law requires prices to include tax, the price shown to you at checkout includes it.
6.6 Price changes. We may change plan prices. We will email you at least 30 days before a new price applies to your subscription. The new price applies from your first renewal after that notice period. If you do not want to pay it, cancel before that renewal. If you are a consumer and the law where you live requires your express consent to a price increase, we will ask for it, and if you do not give it you may cancel without charge.
6.7 Plan changes. If you move between Pro and Premium, the change and any proration are handled by Stripe and shown to you before you confirm.
7.1 New Pro customers can start a 7-day trial. A valid payment card is required to start it. You are not charged during the trial.
7.2 Unless you cancel before your trial ends, on day 8 the trial converts automatically to a paid Pro subscription and we charge your card $39, and then $39 every month after that until you cancel. The exact conversion date is shown when you start the trial.
7.3 We may send a reminder before the trial ends, but you should not rely on it. Cancel from Settings → Plan in the app or through the Stripe Customer Portal. If you cancel during the trial you will not be charged, and your Pro access may end straight away.
7.4 One trial per person. We may refuse or end a trial where we reasonably believe someone is creating accounts to get repeat trials.
7.5 Premium has no trial.
8.1 You can cancel a paid plan at any time from Settings → Plan in the app, which opens the Stripe Customer Portal. You do not need to contact us, but you can email [email protected] (subject: Support) if anything goes wrong.
8.2 Cancelling stops future renewals. You keep paid access until the end of the monthly period you have already paid for, then your account moves to the Free plan. Cancelling does not by itself give you a refund for the current period; refunds are covered in Section 9.
8.3 Moving to Free does not delete your account. To delete your account, see Section 21.
9.1 14-day money-back. If you are not happy, you can ask for a full refund within 14 days of your first paid charge on a first-time Pro or Premium subscription. The 14 days start on the day of the first charge, not the day you started a trial. Email [email protected] (subject: Refund) from your account email.
9.2 Approved refunds are processed within 5 business days of approval and go back to your original payment method. Your bank may take longer to show it.
9.3 Eligibility, exclusions (for example renewals and repeat refunds) and what happens to your access are set out in our Refund Policy (nikaquant.com/refund/).
9.4 Outside the money-back window, fees already paid are not refundable, except where the law requires a refund (for example, under Section 25) or where we say otherwise in writing.
10.1 NikaQuant is an analytics and educational tool. It is not a broker, investment adviser, portfolio manager, signal provider or regulated financial firm. We are not authorised or supervised by any financial regulator. We do not hold client money, open trading accounts, or place, modify or close trades for you.
10.2 Scores, grades, Verdicts, robustness checks, position-sizing figures, Prop-Firm Simulator results, coaching prompts, Roast Mode output and anything else the Service produces are general information about the data you provided. They are not personal recommendations, and they are not advice to buy, sell or hold anything or to use any strategy, broker, prop firm or position size.
10.3 Backtests and past results do not predict future results. A strong grade or a "deploy"-type Verdict means the historical data looks statistically consistent with an edge under the model's assumptions. It does not mean the strategy will make money live. Slippage, spreads, execution, broker conditions, data quality and changing markets all matter.
10.4 Trading leveraged products such as forex, CFDs, futures and crypto-assets carries a high risk of losing money, and you can lose more than you deposit. Every trading decision is yours alone. Read our Risk Disclosure (nikaquant.com/risk-disclosure/), and consider getting independent advice before you trade.
11.1 You own your data. Files you upload, account and trade data sent by the Bridge EA, journal entries, notes, tags, profile details and anything else you put into the Service ("Your Content") stay yours. Analysis generated from Your Content is yours to use too, subject to Section 18.
11.2 Licence to process. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, analyse, transmit and display Your Content only as needed to run, secure, support and improve the Service for you, and to do what you ask (for example, to show a public profile or share link you created). This licence ends when Your Content is deleted from our systems, except for the parts you have chosen to make public, which Section 12 covers, and copies we must keep by law.
11.3 We do not sell Your Content. We do not use Your Content to train machine-learning models. We share it only with the service providers who help us run the Service, as described in our Privacy Policy, or when the law requires.
11.4 We may use aggregated, de-identified statistics about how the Service is used (for example, how many reports were graded) as long as they do not identify you or your trades.
11.5 Your promises. You confirm you have the right to upload Your Content and to let us process it under these Terms. Do not upload data that belongs to someone else (for example, a client's account history) unless you have their permission. Be careful with file names and free-text fields: a real MT5 report can contain an account number or name.
11.6 Personal data. How we handle personal data, and your rights over it, are set out in our Privacy Policy.
12.1 Nothing you put into the Service is public by default. Some features let you choose to show things to others:
12.2 Only publish what you are comfortable with strangers seeing. Do not publish other people's data, and do not present results in a misleading way (for example, passing a backtest off as a live account or editing figures).
12.3 Arena rankings are produced by our methodology from the data users publish. We do not verify every result, and a ranking is not an endorsement of a trader or strategy. We may remove, relabel or hide entries that we reasonably believe are misleading, manipulated or in breach of these Terms.
12.4 For content you make public, you give us a non-exclusive, royalty-free licence to display, reproduce and distribute it within the Service and in links and previews of it, for as long as it stays public and, for Arena, in the withdrawn-entry form described above.
If you send us ideas, suggestions or bug reports, we may use them freely, without paying you or owing you anything. This does not give us ownership of Your Content.
14.1 Use the Service lawfully and fairly. Our Acceptable Use Policy (nikaquant.com/acceptable-use/) has the full list. In short, you must not:
14.2 You may share your own reports with others (for example, a mentor or a prop firm), as long as you do not misrepresent them.
15.1 The Bridge EA is an optional MT5 Expert Advisor you install yourself in your own MetaTrader 5 terminal. It reads account, deal and report data from your terminal and exports it so the Service can show it. It is a reporting tool: it does not place, modify or close trades. You are responsible for the terminal, the broker account, and any other Expert Advisors or strategies you run, and for what they do.
15.2 Install the Bridge EA only on terminals and accounts you are allowed to use. You can stop it at any time by removing it from the chart.
15.3 No affiliation. MetaTrader and MetaTrader 5 are products of MetaQuotes Ltd. NikaQuant is not affiliated with, endorsed by or sponsored by MetaQuotes, or by any broker. Third-party names are used only to describe compatibility.
15.4 MT5, your broker, your operating system and your internet connection are outside our control. Changes to them can break imports or the Bridge EA, and we are not responsible for their availability, accuracy or conduct. Your use of them is governed by their own terms.
16.1 The Prop-Firm Simulator models how a history or strategy might fare against challenge rules (such as drawdown limits and profit targets). Rules are our interpretation of publicly available information, may be simplified, and may be out of date.
16.2 NikaQuant is not affiliated with, endorsed by or sponsored by any prop firm. Passing a simulation does not mean you will pass a real challenge, get funded or get paid. Always check the current rules with the firm itself.
17.1 Nika AI is planned to be included on the Premium plan only. It is not live yet. Free and Pro have no AI features. Subscribing to Premium today does not entitle you to a particular AI feature, launch date or level of usage.
17.2 When Nika AI goes live:
17.3 We may add usage limits to Nika AI to keep it fair and affordable. Any limits will be shown in the app.
18.1 The Service — including its software, scoring methods, algorithms, design, text, graphics, the Bridge EA and the NikaQuant name and logo — belongs to NikaQuant or our licensors and is protected by intellectual property law. Except as these Terms say, we do not give you any rights in it.
18.2 While you comply with these Terms, we give you a personal, non-exclusive, non-transferable, revocable licence to use the Service, and the Bridge EA, for your own trading analysis, or for your business's internal purposes if you are a business user.
18.3 You may download, keep and share the reports, PDFs and images the Service creates from Your Content, including after your subscription ends. You may not remove NikaQuant branding from them in a way that misrepresents who produced them, or sell them as a commercial product without our written agreement.
19.1 We use service providers to run the Service, such as hosting, database and sign-in, payments, email, analytics and error reporting. The current list is in our Privacy Policy.
19.2 The Service may link to or work with third-party websites, platforms or services we do not control. We are not responsible for them, and your use of them is under their terms.
20.1 We aim to keep the Service running, but we do not promise it will always be available, uninterrupted or error-free. We may take it down for maintenance, security or reasons beyond our control.
20.2 Beta features. Features marked "beta", "preview", "experimental", "coming soon" or similar are provided as-is, may change or be removed, and may be less reliable. Do not rely on them for anything important.
20.3 Changes to the Service. We keep improving the Service and may add, change or remove features. If we remove or materially reduce a core feature of a paid plan you are subscribed to, we will tell you in advance where we reasonably can. If the change is to your disadvantage and you are a consumer, you may cancel and, where the law gives you this right, get a pro-rata refund for the unused part of the period you have paid for. We may change the Free plan at any time.
20.4 If we decide to shut down the Service entirely, we will give you at least 30 days' notice where we reasonably can, refund the unused part of any prepaid period, and give you a reasonable chance to export your cloud data.
21.1 By you. You can stop using the Service at any time. You can cancel a paid plan as described in Section 8, and ask us to delete your account by emailing [email protected] (subject: Privacy request), or through any delete option in the app.
21.2 By us. We may suspend or end your access, in whole or in part, if:
Where reasonable, we will tell you first and give you a chance to fix the problem. If we end your paid plan without you being at fault, we will refund the unused part of the period you have paid for. If we end it because of your serious breach, we do not refund unused time, unless the law says otherwise.
21.3 Your data after termination. When your account is deleted or terminated:
Export anything you want to keep before you delete your account.
21.4 Sections that by their nature should survive termination — including 9 (where a refund is owed), 10, 11.4, 12.4, 13, 18, 22, 23, 24, 26 and 29 — continue to apply.
22.1 Nothing in this section limits your statutory rights as a consumer (see Section 25).
22.2 To the extent the law allows, the Service is provided "as is" and "as available". We make no warranties, express or implied, including about merchantability, fitness for a particular purpose, non-infringement, accuracy or completeness, beyond those stated in these Terms.
22.3 In particular, we do not promise that any Analysis is correct for your situation, that any strategy will be profitable, that any import will parse every file format, or that the Service will be free of bugs. Statistical methods have limits and assumptions, which our methodology page explains.
23.1 What we never exclude. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for our gross negligence or wilful misconduct, or for anything else that the law does not allow us to limit or exclude. If you are a consumer, nothing in these Terms affects your statutory rights.
23.2 Trading losses. You make your own trading decisions (Section 10). Subject to Section 23.1, we are not liable for trading losses, missed profits, prop-firm challenge failures or fees, or broker charges that result from your decisions, even if you made them after looking at Analysis.
23.3 Indirect losses. Subject to Section 23.1, we are not liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill or anticipated savings. If you are a consumer, we are not liable for losses that were not reasonably foreseeable to both of us when you accepted these Terms, or for losses relating to your business.
23.4 Data. Subject to Section 23.1, we are not liable for loss of data stored only in your browser, which is under your control (Section 5.2). For data we store, our liability is limited to using reasonable efforts to restore it from our latest available backup.
23.5 Cap. Subject to Section 23.1, our total liability to you for all claims arising out of or in connection with these Terms or the Service is limited to the greater of (a) the total fees you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.
23.6 These limits apply whatever the legal basis of the claim (contract, tort including negligence, breach of statutory duty, or otherwise), to the extent the applicable law allows. Some jurisdictions do not allow some of these limits; where that is so, they apply only as far as the law permits.
24.1 This section applies to business users only. It does not apply to consumers.
24.2 If you are a business user, you will compensate us for reasonable losses, damages, costs and expenses (including reasonable legal fees) arising from a third-party claim caused by your breach of these Terms, Your Content, or your use of the Service in breach of the law or another person's rights. We will tell you promptly about any such claim, let you control its defence where reasonable, and co-operate with you at your cost.
25.1 If you are a consumer, you have legal rights that these Terms do not take away, including the right to a digital service that matches its description and is of satisfactory quality and fit for purpose. If the Service does not meet those standards, you may be entitled to have it fixed, to a price reduction or to end the contract and get money back, as the law where you live provides.
25.2 Right of withdrawal. If you are a consumer in the EU, EEA or UK, you normally have a 14-day right to withdraw from an online contract without giving a reason. For a digital service, that period runs from the day the contract is made (for the Pro trial, the day you start the trial). When you start a trial or paid plan, you ask us to start providing the Service immediately. If you withdraw within the 14 days, we will refund what you have paid, but the law allows us to deduct an amount proportionate to the Service provided up to the point you told us you were withdrawing. To withdraw, email [email protected] (subject: Refund) with a clear statement that you are withdrawing, or use any model withdrawal form the law provides.
25.3 How this fits with our money-back guarantee. Our 14-day money-back guarantee (Section 9) runs from your first paid charge and gives a full refund with no deduction. It is in addition to, not instead of, your statutory rights. Where both apply, you get whichever is better for you.
25.4 If you are a consumer, you may also be able to complain to your national consumer protection authority or use an approved alternative dispute resolution body in your country.
26.1 Talk to us first. Most problems can be fixed quickly. Before starting any formal claim, please email [email protected] (subject: Support) and give us 30 days to try to resolve it. This does not stop either of us seeking urgent relief from a court.
26.2 Governing law and courts. These Terms are governed by [Governing law and courts — to be set by counsel], and its courts have jurisdiction, subject to Sections 26.3 and 26.4.
26.3 Consumers. If you are a consumer, the choice of law in Section 26.2 does not deprive you of the protection of the mandatory laws of the country where you live. You can bring a claim in the courts of the country where you live, and we can only bring a claim against you in those courts.
26.4 Small claims. Either of us may bring a claim that qualifies in a small-claims court or procedure that has jurisdiction.
26.5 No group-action waiver for EU/UK consumers. Nothing in these Terms limits the right of a consumer in the EU, EEA or UK to take part in collective or representative actions available under their local law.
27.1 We may update these Terms, for example when the Service, the law or our business changes. We will change the "Last updated" date at the top.
27.2 For material changes that affect you, we will email you and show a notice in the app at least 14 days before they take effect, unless the change is required sooner by law or to address a security issue. We may ask you to accept the updated Terms in the app.
27.3 If you do not agree to a change, you can cancel and stop using the Service before it takes effect. If you are a paying subscriber and a change materially reduces your rights, you may cancel and get a pro-rata refund for the unused part of the period you have paid for. If you keep using the Service after the change takes effect, the updated Terms apply. Changes do not apply retroactively to disputes that arose before them.
28.1 These Terms do not cover purchases from store.nikaquant.com, which sells one-time licences for MT5 indicators, Expert Advisors and bots. Those purchases are governed by the store's Terms of Sale and Licence.
28.2 These Terms do not cover the $NIKAQUANT token described at coin.nikaquant.com. The token is not part of any Free, Pro or Premium plan and is not needed to use the Service. See the Token Disclaimer.
28.3 Our affiliate programme is governed by the Affiliate Terms.
29.1 Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to another organisation, for example as part of a sale or reorganisation of our business, provided this does not reduce your rights. If you are a consumer and a transfer would reduce your guarantees under these Terms, you may end the contract and get a pro-rata refund for any prepaid period.
29.2 Severability. If a court finds any part of these Terms invalid or unenforceable, that part is changed to the minimum extent needed to make it enforceable, or removed, and the rest stays in force.
29.3 Entire agreement. These Terms and the documents listed in Section 2.2 are the whole agreement between you and us about the Service, and replace any earlier agreement about it. If you are a consumer, this does not affect statements about the Service that the law treats as part of the contract.
29.4 No waiver. If we do not enforce a right straight away, we can still enforce it later.
29.5 Events outside our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as outages at our providers, internet failures, natural disasters or government action. We will tell you and take reasonable steps to limit the effect.
29.6 Third parties. No one other than you and us has any right to enforce these Terms, except where the law gives them one.
29.7 Notices. We may send notices to the email address on your account or show them in the app. You can send notices to us at [email protected].
29.8 Language. These Terms are written in English. If we provide a translation and they conflict, the English version applies, unless the law where you live requires otherwise.
